1. Introduction
Welcome to TripZynx.
These Terms of Service (“Terms”) govern your access to and use of the TripZynx platform, website, software, integrations, and related services (collectively, the “Platform”).
TripZynx provides technology tools designed to help tour operators manage tour packages, bookings, inquiries, customers, suppliers, visa applications, and other travel-related business operations. Depending on the selected plan and configuration, the Platform may also support reseller or travel-agent access, booking distribution, payment processing, customer communication, email campaigns, and white-label websites.
By accessing or using the Platform, creating an account, purchasing a subscription, or accepting a service agreement or quotation that incorporates these Terms, you agree to be bound by these Terms.
If you do not agree, do not access or use the Platform.

References to “TripZynx,” “we,” “us,” or “our” mean the company operating the Platform. References to “you” or “your” mean the person or organization accessing or using the Platform.
3. Definitions
For purposes of these Terms:
- Platform means the TripZynx software, website, dashboard, applications, integrations, and related services.
- Customer means a person or organization that purchases a TripZynx subscription or otherwise engages TripZynx for its services.
- Tour Operator means a business that offers, manages, or sells tours, activities, travel packages, or related services.

4. Eligibility and Account Registration
You must provide accurate, current, and complete information when creating or maintaining an account.
You agree to:
- Use the Platform only for lawful business or personal purposes permitted by these Terms.
- Maintain the confidentiality of your login credentials.
- Restrict account access to authorized users.
- Notify TripZynx promptly if you suspect unauthorized access or a security breach.
- Keep your business, contact, billing, and account information updated.
- Ensure that individuals using your account are authorized to act on your behalf.
You are responsible for activities performed through your account, except to the extent caused by TripZynx’s own breach, negligence, or other legally attributable conduct.
TripZynx may request verification of your identity, business registration, authority to operate, or other information reasonably necessary to maintain platform security, prevent fraud, or comply with applicable law.
5. Platform Services and Features
The Platform may provide features such as:
- Tour package and product management
- Supplier and partner management
- Booking and reservation management
- Booking calendars and availability management
- Customer inquiries and customer relationship management
- Reseller or travel-agent access
- Visa directory and visa application management
- Customer communication and email tools
- Payment-related integrations and transaction records
- White-label websites and booking interfaces
- Reporting, dashboards, and other business tools
Available features depend on the Customer’s subscription, selected package, configuration, integrations, and any applicable service agreement or quotation.
TripZynx may introduce, modify, improve, suspend, or discontinue features as reasonably necessary for operational, technical, security, legal, or commercial reasons. Where a material change affects a paid service, TripZynx will provide notice when reasonably practicable and address any applicable contractual obligations.
TripZynx does not guarantee that every feature will be available on every subscription or in every location.
6. Subscriptions, Fees, and Payment
6.1 Subscription Plans
TripZynx may offer different access arrangements, including one-time license arrangements, semi-annual subscriptions, annual subscriptions, or other plans made available from time to time.
The applicable service agreement, quotation, order confirmation, or subscription checkout will specify the selected plan, fees, inclusions, duration, payment schedule, and any plan-specific conditions.
If a signed service agreement or accepted quotation contains specific commercial terms that conflict with these general Terms, the specific terms will govern that commercial matter to the extent of the conflict.
6.2 Payment Obligations
You agree to pay all fees applicable to your selected plan and any additional services you authorize.
Subscription payments may be collected through Maya or another payment method made available by TripZynx. You must provide accurate payment information and comply with the payment provider’s applicable terms.
Unless expressly stated otherwise in writing, fees do not include third-party charges, taxes, transaction fees, domain fees, premium integrations, customization, or other services outside the selected plan.
6.3 Renewal and Expiration
The duration and renewal terms of your subscription will be stated in the applicable checkout, order confirmation, quotation, or service agreement.
Where automatic renewal is offered and enabled, the renewal frequency, amount, and cancellation process will be disclosed during enrollment or in the applicable plan terms. You are responsible for cancelling before the applicable renewal date if you do not wish to renew.
A subscription that expires or is not renewed may result in restricted access to the Platform or certain features. Expiration does not automatically mean that Customer Data is immediately deleted. Data retention and deletion are governed by these Terms, the Privacy Policy, applicable service agreements, and legal requirements.
6.4 Fee Changes
TripZynx may revise its prices for future purchases, renewals, or new services. Any change to an existing paid commitment will be handled according to the applicable service agreement and applicable law.
Where notice is required, TripZynx will provide reasonable advance notice before a new fee applies.
6.5 Taxes and Invoices
You are responsible for taxes applicable to your purchase, except taxes that TripZynx is legally required to pay on its own income. TripZynx will issue invoices or other tax documents as required by applicable law.
7. Booking Transactions and Payment Arrangements
TripZynx provides technology to facilitate travel-related business operations. The party responsible for delivering a travel service and the party receiving a booking payment may vary depending on the transaction arrangement.
7.1 Payments Made Directly to Tour Operators
Where a Traveller pays a Tour Operator directly, the Tour Operator is responsible for collecting the payment, issuing applicable receipts or invoices, confirming the transaction, and fulfilling the booked service.
TripZynx is not responsible for funds that it does not receive or control, except where applicable law or a separate written agreement provides otherwise.
7.2 Payments Processed Through TripZynx
Where a booking payment is processed through TripZynx or its payment account, the applicable payment and settlement arrangement will determine how the funds are collected, recorded, and remitted.
TripZynx may deduct authorized fees, refunds, chargebacks, reversals, or other amounts permitted under the applicable agreement or law before settlement.
The applicable arrangement may require confirmation of service fulfillment, booking status, or other transaction information before settlement. Any specific settlement schedule, deduction, refund procedure, or payout condition must be stated in the relevant agreement or payment terms.
7.3 Responsibilities of Tour Operators
Tour Operators are responsible for the accuracy of their listings and for the travel services they offer, including:
- Accurate package descriptions, inclusions, exclusions, and prices
- Availability, schedules, and booking conditions
- Required permits, licenses, and authorizations
- Traveller communications and booking confirmation
- Delivery of the advertised service
- Applicable cancellation, refund, and rescheduling policies
- Safety, staffing, insurance, and legal compliance applicable to their operations
Tour Operators must promptly update material changes to their listings and booking availability.
7.4 Responsibilities of Resellers and Travel Agents
Resellers and Travel Agents must have proper authorization to promote or sell the relevant travel products.
They must communicate accurate information, comply with the Tour Operator’s applicable sales conditions, and avoid making unauthorized promises or representations.
Any commissions, reseller protections, payout arrangements, or restrictions must be governed by the applicable reseller agreement, commercial terms, or written arrangement.
7.5 Booking Confirmation and Fulfillment
Booking requests, confirmation deadlines, cancellation rules, and fulfillment requirements may vary by Tour Operator and product.
The applicable booking terms displayed to the Traveller or agreed between the relevant parties will govern the booking, subject to applicable law.
TripZynx may provide tools for recording booking status and sending notifications, but automated messages or system statuses do not independently guarantee that a booking has been accepted or that a service will be delivered.
7.6 Refunds, Cancellations, and Disputes
Refunds, cancellations, rescheduling, and disputes relating to a travel service are generally handled according to the terms disclosed by the Tour Operator and the applicable booking arrangement.
Where TripZynx processes the payment, TripZynx may assist with the administrative or payment-processing steps required under that arrangement. This does not make TripZynx the provider of the travel service.
Nothing in these Terms removes any consumer rights or other rights that cannot lawfully be excluded under applicable law.
8. Tour Operator and Traveller Relationship
Unless expressly agreed otherwise in writing, the contract for the actual travel service is between the Traveller and the relevant Tour Operator or service provider.
TripZynx supplies software and related technology services. It does not itself operate every tour, accommodation, transport service, activity, or travel product listed by its Customers.
TripZynx does not independently guarantee the quality, safety, legality, availability, or performance of a third party’s travel service. However, TripZynx remains responsible for its own contractual obligations and any responsibilities imposed on it by applicable law.
Travellers should review the relevant product description, payment conditions, cancellation policy, required documents, and other booking terms before completing a transaction.
9. White-Label Websites and Customer Responsibilities
Where a Customer uses a White-Label Website or booking interface, the Customer is responsible for the business information, branding, product listings, policies, and other content it supplies or controls.
The Customer must ensure that its White-Label Website clearly and accurately identifies the relevant business and provides appropriate customer contact information and applicable booking terms.
The Customer is responsible for ensuring that its published privacy notices, cookie notices, marketing practices, and consent mechanisms are appropriate for its own activities and comply with applicable law.
Where tracking technologies, analytics tools, advertising pixels, or similar integrations are enabled, the Customer must ensure that the use of those tools is properly disclosed and that any required consent or authorization is obtained. TripZynx may provide technical functionality, but this does not automatically satisfy the Customer’s independent legal obligations.
TripZynx may disable or remove content or integrations that reasonably appear unlawful, deceptive, insecure, or in violation of these Terms.
10. Third-Party Services and Integrations
The Platform may connect with third-party services, including payment providers, mapping tools, messaging platforms, email delivery services, hosting providers, analytics tools, and other integrations.
Your use of a third-party service may be subject to separate terms, privacy policies, technical requirements, fees, and availability conditions.
TripZynx is not responsible for independent third-party services to the extent they are outside TripZynx’s control. TripZynx will remain responsible for its own obligations under applicable agreements and law.
An integration may be changed, limited, suspended, or discontinued if the third-party provider changes its service, imposes new requirements, experiences an outage, or no longer supports the integration.
11. Customer Data and Privacy
You retain your rights in Customer Data that you lawfully own or are authorized to use, subject to the rights necessary for TripZynx to provide the Platform.
You authorize TripZynx to host, process, transmit, display, and otherwise use Customer Data as reasonably necessary to operate, secure, maintain, support, and improve the services, in accordance with these Terms, applicable agreements, and the Privacy Policy.
You are responsible for ensuring that you have the necessary rights, notices, permissions, and lawful basis to upload or process personal information through the Platform.
Where you upload Traveller information, passport details, visa documents, or other personal information, you must ensure that the collection and disclosure of that information are lawful and limited to what is reasonably necessary for the relevant purpose.
TripZynx’s processing of personal information is further described in the TripZynx Privacy Policy. Where TripZynx processes personal information on behalf of a Customer, the parties’ respective responsibilities will depend on the actual processing arrangement and applicable law.
12. Data Access, Export, and Deletion
Customers should maintain appropriate copies of important business records and should not rely on the Platform as their only recordkeeping system.
During an active subscription, data export may be available through the Platform or by request, depending on the features included in the plan and technical capabilities.
When a subscription expires, TripZynx may restrict access to the dashboard or certain features. Such restrictions do not necessarily mean that the data has been deleted.
After expiration or termination, TripZynx may retain, restrict, export, or delete Customer Data according to the applicable service agreement, retention schedule, security requirements, and legal obligations.
If a Customer requires a data export or migration, the Customer should request it before expiration or termination whenever practicable. Additional work or fees may apply if data migration, custom extraction, or technical assistance falls outside the selected plan.
TripZynx may retain certain records when required by law, for legitimate security purposes, to resolve disputes, or to enforce agreements. Any retention or deletion will remain subject to applicable privacy law.
13. Intellectual Property
TripZynx and its licensors retain all rights, title, and interest in the Platform, including its software, source code, design, user interface, documentation, trademarks, logos, and underlying technology, except for rights expressly granted in writing.
Subject to payment and compliance with these Terms, TripZynx grants the Customer a limited, non-exclusive, non-transferable right to access and use the Platform during the applicable license or subscription period for its intended business purposes.
Unless expressly agreed in writing, purchasing a subscription or license does not transfer ownership of the Platform, source code, or underlying intellectual property to the Customer.
Customers retain ownership of their own trademarks, logos, business content, and other materials they supply. Customers grant TripZynx permission to use those materials only as reasonably necessary to provide the services, display the Customer’s configured website, provide support, or perform other agreed functions.
TripZynx will not use a Customer’s logo, name, or materials in promotional content in a manner requiring separate authorization without obtaining that authorization, unless the use is otherwise permitted by law or a separate written agreement.
14. Acceptable Use
You must not, and must not allow another person to:
- Use the Platform for unlawful, fraudulent, deceptive, or unauthorized activities.
- Access another user’s account or data without authorization.
- Upload malicious code, attempt to compromise system security, or interfere with the Platform’s operation.
- Reverse engineer, decompile, or attempt to obtain the source code of the Platform except where such restriction is prohibited by applicable law.
- Copy, resell, sublicense, or commercially exploit the Platform outside the rights expressly granted to you.
- Misrepresent a travel product, booking status, business identity, or payment arrangement.
- Upload personal information or documents without the necessary authority or lawful basis.
- Use the Platform to transmit spam, unlawful marketing, harmful content, or misleading communications.
- Circumvent subscription restrictions, usage limits, or security controls.
- Use the Platform in a manner that infringes the rights of another person or violates applicable law.
TripZynx may investigate suspected violations and take proportionate action to protect users, data, the Platform, and affected third parties.
15. Availability, Maintenance, and Technical Support
TripZynx will use reasonable efforts to keep the Platform available and functioning, but uninterrupted access is not guaranteed.
The Platform may be temporarily unavailable because of maintenance, updates, technical problems, internet disruptions, cybersecurity incidents, third-party service failures, or circumstances outside TripZynx’s reasonable control.
Support services, response times, implementation assistance, training, customization, backups, and service-level commitments will depend on the applicable plan or written agreement.
Unless expressly included in the applicable agreement, custom development, migration, third-party setup, and additional technical work may be subject to separate fees.
16. Suspension and Termination
TripZynx may suspend or restrict access to all or part of the Platform where reasonably necessary if:
- A subscription expires or required payment remains unpaid.
- There is suspected fraud, unauthorized access, or a material security risk.
- The Customer materially violates these Terms or an applicable agreement.
- Continued access could expose TripZynx, other users, or third parties to legal or operational harm.
- Suspension is required by law or by a relevant third-party provider.
Where reasonably practicable and legally permitted, TripZynx will provide notice and an opportunity to resolve the issue before suspending access. Immediate action may be necessary for security, fraud prevention, or legal compliance.
A Customer may stop using the Platform or cancel a subscription in accordance with the applicable plan and service agreement. Cancellation does not automatically waive outstanding fees or obligations already incurred.
Termination or expiration does not affect provisions that by their nature should survive, including payment obligations, intellectual property rights, privacy obligations, liability provisions, dispute provisions, and other accrued rights.
17. Disclaimers
The Platform is provided subject to the features, commitments, and service levels expressly stated in the applicable agreement.
To the extent permitted by law, TripZynx does not warrant that the Platform will be uninterrupted, error-free, compatible with every third-party system, or capable of meeting requirements not expressly agreed in writing.
TripZynx does not guarantee a Customer’s revenue, bookings, sales, business growth, search ranking, marketing results, or commercial success.
TripZynx does not provide legal, tax, accounting, immigration, or professional travel advice through the Platform. Customers are responsible for obtaining appropriate professional advice and complying with the requirements applicable to their businesses.
Nothing in these Terms excludes a warranty, guarantee, or right that cannot lawfully be excluded under applicable law.
18. Limitation of Liability
To the extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, or consequential losses, including loss of profits, revenue, goodwill, or business opportunity, arising from these Terms, except where such exclusion is not permitted by law.
To the extent permitted by law, TripZynx’s total aggregate liability arising out of or relating to the Platform or these Terms will not exceed the fees paid or payable by the Customer to TripZynx for the affected service during the twelve (12) months immediately preceding the event giving rise to the claim.
If the Customer has not paid recurring fees for the affected service, the applicable amount will be determined by the relevant order, quotation, or service agreement, subject to applicable law.
These limitations do not apply to liability that cannot legally be limited or excluded, including any liability for fraud or willful misconduct where such limitation is prohibited. Nothing in this section removes rights or remedies available under mandatory consumer protection or other applicable law.
TripZynx is not responsible for the acts or omissions of a Tour Operator, Traveller, Reseller, payment provider, or other third party except to the extent the loss results from TripZynx’s own breach of contract, negligence, or other legally attributable conduct.
19. Indemnification
To the extent permitted by law, you agree to be responsible for third-party claims, losses, and reasonable costs arising directly from your unlawful conduct, material breach of these Terms, infringement of third-party rights, or misuse of the Platform.
This obligation does not apply to the extent a claim is caused by TripZynx’s own breach, negligence, willful misconduct, or other conduct for which TripZynx is legally responsible.
TripZynx will provide reasonable notice of a claim for which it seeks indemnification, where legally permitted, and will not settle a claim in a manner that imposes a material admission or non-monetary obligation on you without your consent, which will not be unreasonably withheld.
20. Changes to These Terms
TripZynx may update these Terms to reflect changes in the Platform, business operations, security requirements, or applicable law.
The updated Terms will be posted on the relevant website with a revised “Last Updated” date. Where a change materially affects an existing Customer’s rights or obligations, TripZynx will provide notice when required by law or the applicable agreement.
Your continued use of the Platform after the effective date of updated Terms constitutes acceptance only to the extent permitted by applicable law. If you do not agree to a material change, you should stop using the affected services and follow the applicable cancellation or termination process.
21. Governing Law and Disputes
These Terms are governed by the laws of the Republic of the Philippines, without prejudice to mandatory legal protections that apply to a user or transaction.
The parties will first attempt in good faith to resolve a dispute through written notice and reasonable discussions.
If the dispute cannot be resolved amicably, it may be brought before a court of competent jurisdiction in the Philippines, subject to applicable procedural rules and any mandatory consumer protection requirements.
Nothing in this section prevents either party from seeking urgent relief where legally available.
22. General Provisions
Entire agreement. These Terms, together with the Privacy Policy and any applicable subscription agreement, service agreement, quotation, or order, govern your use of the relevant services.
Severability. If any provision is found unenforceable, the remaining provisions will continue to apply to the extent legally permitted.
No waiver. A failure to enforce a provision does not constitute a waiver of the right to enforce it later.
Assignment. You may not transfer your rights or obligations under these Terms without TripZynx’s prior written consent, except where applicable law provides otherwise. TripZynx may assign these Terms as part of a lawful corporate reorganization, merger, or transfer of the relevant business, subject to applicable law.
Force majeure. Neither party will be responsible for a delay caused by circumstances beyond its reasonable control, except for payment obligations already due and other obligations that cannot legally be excused.
No employment or agency. These Terms do not create a partnership, joint venture, employment relationship, or agency relationship between TripZynx and a Customer. A separate written agreement may expressly establish a different arrangement for a specific purpose.
